Annex A – Software Description

This document includes the description of the functionalities present within the Cora Hospitality® platform.

DESCRIPTION Cora Hospitality® is the AI-powered Hospitality Operations Management Platform that combines Facility Management, Property Management, and quality control to optimize the management, communication, and coordination of the daily operations of any accommodation facility.

The intuitive and user-friendly interface offers the user quick access to crucial information, detailed reports, and customizable dashboards, ensuring a comprehensive overview of activities and performance metrics.

Cora Hospitality® offers advanced communication features, enabling efficient collaboration between internal staff, facility management, and external suppliers. Users can manage requests, reports, and feedback directly from the application, benefiting from improved communication and prompt problem resolution.

Furthermore, Cora Hospitality® integrates emerging technologies such as artificial intelligence and machine learning to provide predictive and automated solutions. These features make it possible to forecast maintenance needs, anticipate potential problems, and optimize resource allocation.

Cora Hospitality® represents a new standard in the Hospitality sector. With its wide range of features and its immediacy, it offers a cutting-edge experience that improves quality standards and operational efficiency, with a particular focus on cost management.

GENERAL FEATURES

2.1. DASHBOARD

2.1.1. GENERAL TECHNICAL SPECIFICATIONS The Dashboard is a modular and fully “responsive” Cloud web-based application designed to support most laptop and mobile screens. Current mobile devices have screens of very different sizes; a responsive site can modify its structure to adapt to each of them.

Compatibility is guaranteed with the following browsers:

  • Google Chrome (latest available version – Windows, Mac, Linux, Android)
  • Firefox (latest available version – Windows, Mac, Linux)
  • Edge (latest available version – Windows)
  • Safari (latest available version – Mac, iOS)
  • iOS and Android Mobile Browsers

2.1.2. FUNCTIONALITIES The functionalities present within the Dashboard are:

  • Login context dedicated to Admin and operator users;
  • Real-time data update;
  • Dashboard for platform and area usage and aggregate data;
  • Tables of the various entities;
  • Access log per user;
  • CSV, XLS export functionality for each tabular report;
  • Setup for sending push notifications (to Mobile Apps);
  • Setup for sending email notifications (upon maintenance reporting);
  • Setup for coraGPT artificial intelligence;
  • Role management and relative visibility for administrator and non-administrator users;
  • Facility Management intervention scheduling with a real-time updated calendar;
  • Analytics based on Cost Management, Operations, and Assets;
  • Encryption of sensitive data for GDPR-compliant persistence, via a wildcard SSL/TLS certificate.

2.2. MOBILE APP

2.2.1. GENERAL TECHNICAL SPECIFICATIONS The Mobile Applications are developed for devices with iOS and Android operating systems and published, along with updates, in their respective App Store and Play Store. The development is in “native” mode in order to provide the highest quality, the best possible user experience, and maximum flexibility for any future development. The Applications operate in online mode, requiring a network connection for most features. They are built to be “responsive” to support the majority of smartphone screens.

2.2.2. COMPATIBILITY AND DEVICE ADAPTABILITY The requirements in terms of the minimum supported operating system for iOS and Android are respectively:

  • Android SDK 26+ (8.0 Oreo) +;
  • iOS 13.0+;

2.2.3. FUNCTIONALITIES

  • Login context dedicated to users with Operator, Supervisor, and Maintenance roles;
  • Setup for receiving Push Notifications;
  • Calendar dedicated to users with Operator and Supervisor roles;
  • Details of all units of competence with customized intervention checklists;
  • Setup for reporting any anomalies with photographic support;
  • Setup for sending email notifications (upon reporting Maintenance);
  • Setup for receiving input from coraGPT;
  • Encryption of sensitive data for GDPR-compliant persistence, via a wildcard SSL/TLS certificate.

Annex 2.3 – Information

This document refers to the “Information” or the “Work Plan” to be shared by the Licensee with the Licensor, if they have not already been communicated.

Method of Delivery of Information The Licensor undertakes to send the Licensee a document in XLS format via email, containing the necessary instructions for the completion of point 2. Once the Licensee has filled out the document, it will be their responsibility to send it back to Evho Digital Srl, again via email.

Description of the Information Considering the possibility of customizing the Software, it is necessary to provide the following information for the implementation and operation of Cora:

  • Name of the commissioning facility/facilities and respective address(es);
  • Name of the units and common areas, with their respective subdivisions into floors, zones, or addresses;
  • Cleaning interventions, accompanied by checklists for each intervention;
  • Supply groups and related supplies for each group;
  • Most common maintenance activities on a plumbing, electrical, structural, or other level.

Amendments to the Information During the use of Cora, the Licensee has the right to independently make changes to the information provided. If they require assistance, they can always refer to Evho Digital Srl, which will guarantee support via email for any request to customize the information referred to in point 2.

Annex 2.4 – Services

The Licensor undertakes to provide the Licensee with the following services for the use of the Cora Software.

  1. Customization and Delivery of Accesses 1.1 The Licensor will proceed to customize the Cora software to adapt it to the specific operational needs of the Licensee. The customization activities will begin once the Licensor has received the detailed information and specifications contained in Annex 2.3: Information. 1.2 Delivery and Configuration of Accesses The Licensor will create and provide the basic access credentials for the Licensee. Each account will have dedicated access to the Cora platform, with authorization levels differentiated based on roles. The access configuration will also include any security restrictions and access to specific sections of the software. After the delivery of the basic accesses, the Licensee will have the right to independently create an unlimited number of additional accesses, configuring them according to their needs. The mechanism for creating and managing accesses will be illustrated during the training phase provided by the Licensor.
  2. Software Hosting Services 2.1 Hosting on Cloud Infrastructure The Licensor will provide hosting for the Cora software on a secure and reliable cloud infrastructure. The software will be accessible 24/7 via an internet connection, with a guaranteed uptime of 99% on an annual basis.
  3. Maintenance and Support Services 3.1 Platform Maintenance The Licensor will guarantee the continuous, ordinary, and extraordinary maintenance of the Cora platform, with scheduled interventions for updates and optimizations. Maintenance will not require operational interruptions for the Licensee, except for prior notices for extraordinary interventions. 3.2 Technical Assistance and Support Technical support will be provided by the Licensor through the following channels:

  • Online Support Portal: accessible via the “Assistenza” (Support) button on the Cora Dashboard
  1. Software Updates The Cora software will be subject to continuous updates aimed at introducing new features, improving stability, optimizing performance, and ensuring greater security. The updates will be automatically implemented on the platform without the need for intervention by the Licensee, guaranteeing a constant improvement of the user experience. The service offered is always guaranteed for the latest available version of Cora. To ensure correct operation and access to all the most recent features, it is necessary to keep automatic updates active. In this way, the Licensee will always have access to the most updated and high-performing version of the software, in line with the most advanced security and functionality standards.
  2. Training The Licensor will provide a 3-hour online training session to the Licensee, with the aim of ensuring effective use of the Cora software functionalities. The training will cover all daily operations, access management, and the advanced use of the software features. The training session will be recorded and subsequently shared with the Licensee, who will be able to access it at any time for future reference. In addition to the training recording, the Licensee will always have at their disposal a folder containing video tutorials accessible 24/7, providing continuous support for the optimal use of Cora.
  3. CoraGPT: AI Assistance CoraGPT is the artificial intelligence-based virtual assistant, developed on OpenAI’s GPT-4o technology, designed to simplify and automate the management of daily plant operations. Thanks to its integration with WhatsApp, CoraGPT offers a user-friendly interface that allows users to quickly and efficiently manage various operational tasks, without the need to log directly into the software. CoraGPT is a powerful tool to improve operational efficiency, reducing the time required to perform tasks and optimizing resource management thanks to simple and immediate interaction via WhatsApp.
  4. Guest Feedback Module The Licensor will make the “Guest Feedback” module, integrated into the Cora platform, available to the Licensee. Through this functionality, it will be possible to generate and download a customized QR Code, to be strategically placed inside the rooms or in other areas of the hotel. The QR Code will allow guests to access a dedicated URL to leave their feedback in real-time. Guests will be able to evaluate the following aspects: Room Cleanliness, Room Status, Custom messages or reports. The reports received will be immediately visible on the Cora dashboard, allowing for prompt and targeted management of the requests or problems reported, directly during the guest’s stay. All feedback received will be automatically recorded on the platform, creating a detailed and consultable history. This will allow the Licensee to monitor ratings over time, and analyze trends and areas for improvement.
  5. Integrated and/or connected third-party services For all integrated and/or connected services provided by third parties of which the Licensor is only an intermediary and not a supplier (such as, by way of non-limiting example, “Lost & Found”, integrated PMS, etc.), in the event of disservices and malfunctions, all liability to the supplier is declined. The Licensee must therefore contact the supplier of the service in question for assistance and resolution.

Articles 4 – 10

Delivery and installation, fees, software updates, licensor’s commitments, intellectual property rights, confidential information, privacy

Art. 4 Delivery and Installation 4.1 Provided that the Licensee has correctly fulfilled its commitment referred to in paragraph 2.3 above and paid the Licensor the amounts due under the Agreement, the Software will be usable in the cloud by the Licensee through the use of a “Uniform Resource Locator”, which will be transmitted by the Licensor, and/or through the use of an application, by entering the access credentials (login and password) provided for the first time by the Licensor within 6 (six) working days from the communication of the Information. 4.2 The installation of the Software will be carried out independently by the Licensee. The Licensor undertakes to provide 2 (two) hours of remote training to the Licensee, in order to clarify the functionalities of the Software, unless the Licensee has expressly requested in writing or indicated in Annex 2.4 that it wishes to avail itself of a greater number of training hours. 4.3 At the end of the training phase and upon delivery of the customized account, the licensee will have 7 days to request any changes to the account free of charge. Subsequently, any change to the account requested by the licensee and for which the intervention of the licensor is necessary will have a flat-rate cost of € 150.00 + VAT.

Art. 5 Fees 5.1 The fees that the Licensee will have to pay to the Licensor for the Software Use License are indicated in Annex 5 and are calculated based on the services chosen by the Licensee and indicated in Annex 2.4 or communicated separately and in writing to the Licensor. In the latter case, such services shall be deemed included among the services covered by the Agreement. 5.2 In any case, it is understood that the Licensee undertakes to pay the fees in favor of the Licensor on the deadlines better indicated in Annex 5. 5.3 Without prejudice to what has been previously established, in the event of delays in the payment of the fees for a period of less than 30 (thirty) days from the due payment date, the Licensor shall have the right to suspend the use of the Software until the date of actual payment. Once the aforementioned 30 (thirty) days have elapsed, the Agreement will be deemed terminated by right, pursuant to and for the purposes of art. 1456 of the Italian Civil Code, and, consequently, the Licensor will have the right to interrupt the use of the Software by canceling, at any time, the account reserved for the Licensee, who will in any case remain obliged to pay the amount already due (in addition to legal interest).

Art. 6 Software Updates 6.1 The Licensor shall have the right to update the Software, at any time and for any reason, by communicating it via email to the Licensee, without the application of any additional fee to the latter. 6.2 In the event of a Software update, the Licensor will have the right to provide the Licensee, for a period not exceeding 7 days, with a provisional version of the Software, without the Licensee being able to make any claim against the Licensor (e.g., termination of the contract, compensation for damages, including indirect damages, suspension of payment of fees, etc.).

Art. 7 Licensor’s Commitments 7.1 The Licensor guarantees that the Software complies with the technical and functional characteristics referred to in Annex A., it being understood that in the event of malfunctions due to: (i) incorrect use or atypical use of the Software by the Licensee; or (ii) force majeure events, such as, by way of non-limiting example, strikes, lockouts or other industrial actions, natural disasters, health emergencies, war and/or terrorist events, sabotage, riots, civil unrest, interruptions or malfunctions of the services of telecommunications operators and/or power lines on which the Parties rely, hacker attacks suffered by the Parties; the Licensor cannot in any case be considered liable and, consequently, the Licensee will not have the right to make any claim against the Licensor (e.g., termination of the contract, compensation for damages, including indirect damages, suspension of payment of fees, etc.). 7.2 The Licensor undertakes to keep the Software in a good state of maintenance.

Art. 8 Intellectual Property Rights 8.1 Without prejudice to what is already indicated in Recital A., the Licensee acknowledges that all intellectual property rights inherent to the Software (including the source code, development and production techniques, and procedures of the Software) are and shall remain the exclusive property of the Licensor. 8.2 The Licensee hereby expressly authorizes the Licensor to use the Licensee’s trademark, trade name, and logo for marketing and promotional purposes of the Software, both on online and offline promotional material, as well as on the Licensor’s communication channels and in commercial presentations. Such use will be strictly aimed at illustrating examples of Software usage or demonstrating existing collaborations and will in no way imply changes or alterations to the trademark, trade name, and logo.

Art. 9 Confidential Information “Confidential Information” means the set of information, data, and/or documents concerning in any way the Software, its development, and any technical and production expertise necessary for its specific creation, in any case transmitted by the Licensor to the Licensee during the execution of the Agreement. The Licensee undertakes not to disclose, use, bring to the attention of, or make them usable to third parties, other than its own clients referred to in paragraph 2.2(ii) above. In the event of a violation by the Licensee of the provisions of this Article 9, the Agreement shall be deemed terminated by right, pursuant to and for the purposes of art. 1456 of the Italian Civil Code, and the Licensor shall have the right to (i) interrupt the use of the Software by canceling, at any time, the account reserved for the Licensee and all related data processed in execution of the Agreement and (ii) request from the Licensee, by way of penalty, pursuant to and for the purposes of art. 1382 of the Italian Civil Code, a sum equal to 100% (one hundred percent) of the fee referred to in Article 5 below (i.e. 100% of the set-up fee and any further amounts provided for under the Agreement), without prejudice to greater damages.

Art. 10 Privacy The Parties undertake to process their respective personal data in compliance with the current privacy protection legislation, in particular with Legislative Decree No. 196/2003 and European Regulation No. 679/2016, as well as the subsequent implementing ministerial decrees, exclusively for purposes relating to the management of this relationship.
